PITCH DECK AGENCY

Terms & Conditions

Last Updated: [01 Sep 2026]

These Terms and Conditions form a legally binding agreement between Pitch Deck Agency (“Agency,” “we,” “us,” or “our”) and the client (“Client,” “you,” or “your”) accessing pitchdeckagency.com or contracting our services.

By accessing this website, submitting project materials, paying an invoice, or signing a Statement of Work (SOW), you agree to these terms.

1. Services and Statements of Work

Pitch Deck Agency provides presentation strategy, narrative structuring, visual slide design, pitch deck redesigns, and related presentation assets. Specific deliverables, deadlines, software formats (.pptx, .gslides, .key, PDF), and fees are defined in individual Statements of Work or approved written proposals.

Work begins only after receipt of both written project confirmation and the initial required deposit.

2. Client Responsibilities

You agree to provide all necessary business information, draft copy, brand guidelines, fonts, data, and imagery required to execute the project. You represent that all facts, metrics, and business claims provided to us are accurate and that you own or license all submitted assets.

You agree to designate a primary decision-maker and deliver consolidated feedback within two business days of receiving milestone drafts to maintain scheduled delivery dates.

3. Securities and Fundraising Disclaimer

Pitch Deck Agency is a creative design studio, not a registered broker-dealer, investment adviser, or legal firm. We do not provide legal, financial, tax, or investment advice, nor do we broker introductions to investors or solicit capital.

We make no warranty or guarantee that any deck designed by our team will secure capital, investor meetings, or term sheets. The success of your raise depends on your business fundamentals and market conditions. You are solely responsible for ensuring your final materials comply with applicable federal, state, and international securities laws, including SEC regulations.

4. Fees, Payments, and Taxes

All fees are quoted and payable in United States Dollars (USD).

Standard engagements require a non-refundable deposit of fifty percent (50%) upfront, with the remaining fifty percent (50%) due upon final file delivery or project milestone completion. Projects under $3,000 or accelerated sprints require full payment upfront.

Invoices are due upon receipt. Invoices unpaid after seven business days will result in paused work and delayed final file delivery. Overdue balances accrue interest at 1.5% per month or the legal maximum. You are responsible for any applicable local or sales taxes.

5. Revisions and Scope Changes

Each project includes the specific number of revision rounds stated in your SOW (typically two to three structured rounds). Revisions cover design adjustments, typography, layout refinements, and copy tweaks within the original project scope.

Revisions do not include structural business model pivots, narrative restarts, new slide additions beyond the agreed count, or dataset replacements after visualization. Out-of-scope work requires an approved written change order and supplemental fee.

6. Intellectual Property and File Ownership

You retain full ownership of all pre-existing content, data, logos, trademarks, and materials you provide to us.

Upon receipt of full payment, Pitch Deck Agency transfers to you all worldwide rights, title, and interest in the final customized presentation deliverables. You own your completed deck outright.

Pitch Deck Agency retains ownership of its underlying frameworks, tools, layout systems, workflow methods, and The Second-Meeting Method™. Commercial font licenses that cannot be legally transferred must be licensed independently by the Client if custom font files are required.

7. Confidentiality and NDAs

We treat all pitch decks, financial models, cap tables, product details, and fundraising strategies as strictly confidential. We access your materials solely to deliver your project and never sell, rent, or disclose your private business data to third parties.

We do not train public artificial intelligence models on your proprietary materials. We are pleased to execute our standard mutual Non-Disclosure Agreement (NDA) or your company’s NDA prior to receiving sensitive files.

8. Portfolio Display

Unless you notify us in writing to opt out, you grant Pitch Deck Agency permission to display final slide layouts in our portfolio, case studies, and marketing channels.

We automatically redact sensitive financial metrics, unannounced product names, valuation figures, cap table data, and investor lists before displaying any work publicly. Founders operating in stealth mode may opt out at any time during onboarding.

9. Delays and Project Dormancy

If you fail to provide necessary assets or feedback for more than ten business days, the project schedule will be paused and rescheduled based on agency availability.

Projects inactive for more than thirty consecutive calendar days without prior agreement will be marked dormant and closed. Deposits on dormant projects are non-refundable. Reactivating a dormant project within ninety days requires a 20% reactivation fee. Projects inactive past ninety days must be re-quoted as new engagements.

10. Cancellation and Refunds

You may cancel an active project at any time with written notice. Upon cancellation, you remain responsible for payment for all work and milestones completed up to that point.

Because we reserve dedicated creative staff for each engagement, initial deposits and upfront payments are strictly non-refundable. We do not issue refunds for completed design milestones or delivered files.

11. Limitation of Liability and Warranties

We warrant that services will be performed in a diligent, professional, and workmanlike manner. All deliverables are otherwise provided on an “as is” basis without warranties of any kind.

To the maximum extent permitted by law, Pitch Deck Agency is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, missed fundraising opportunities, or lost data. Our total aggregate liability arising from any project shall not exceed the total fees paid by you for that specific engagement during the preceding three months.

12. Indemnification

You agree to defend, indemnify, and hold harmless Pitch Deck Agency, its officers, contractors, and employees from any third-party claims, liabilities, damages, and legal expenses arising from: your breach of these terms; factual inaccuracies or regulatory violations in your deck content; intellectual property infringement of assets you provided; or legal actions related to your securities offerings and fundraising activities.

13. Non-Solicitation

During any active project and for twelve months following completion, you agree not to directly or indirectly hire, contract, or solicit any designer, writer, or team member from Pitch Deck Agency. A breach of this section incurs liquidated damages equal to 50% of the individual’s annualized compensation.

14. Governing Law and Arbitration

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules.

Any dispute that cannot be resolved through good-faith informal negotiations within twenty business days shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Both parties waive any right to bring or participate in class action lawsuits or jury trials.
